sharper, smaller, lighter.... aperture ring? depends on if you shoot with a body which doesn't support g type lenses... and if you do.... how important would it be to use 24-70 on that body...
Yes, i don't like spending alot of money on a lens i can only use on 2 of my cams. But it's more of an it bothers me deal than a necessity. I can only shoot ir flim on my older bodies, my n75 has the ir film reader and would ko ir film, also with extension tubes with no contacts ect. But that is only about 1/2% of the shooting i do noways anyway.
I wasn't aware that the 24 was smaller and lighter that might make it worth it if it is noticeably sharper. It was more of a curiosity thing anyway...
Both are great lenses. The 28-70 is larger in diameter, an issue with some. The 24 -70 was released as a replacement - filling in the gap going down to 24. Losing manual aperture control saves some money in manufacture.
The current high end Pro lens lineup is 14-24, 24-70, 70-200 - all f/2.8 meshing nicely into the f/4 200-400.
If you've already got a 28-70 most will say there's no compelling reason to trade for a 24-70. Debated the choice and bought the 24-70. For the proice I'd rather have new - with full warranty.
The new 24-70 is supposedly one of the most uniform, sharpest, best behaved zooms in existence. Check out the full frame (D700) test here, very very impressive performance:

Actually no on 2...possibly all 3 points.
The 24-70 is 30g HEAVIER than the 28-70, they're roughly the SAME size and I seriously
doubt it's any sharper. The skin tones the 28-70 produces are unrivaled. YMMV but I see
no compelling reason to "upgrade" to the more expensive 24-70 for the nano hype
and closer MFD. 28's wide enough for me on my D3 with no vignette/CA issues. I'll stay pat

Not that it matters, I just had to buy a new bedroom suit for my house today and i got a new plasma to go with it so my lens cash stash i had been building up just got wiped out

If things aren't even on the right and left, you've got a lens element that's out of alignment. They can fix that for you. I had a 70-200 that was like that.
The extra 4 is quite a bit when your back is already against a wall. You can manage with a 28, but the 24 is great.
Other than that, the 28-70 is not nearly the lens that the 24-70 is IMO. Faster AF, more accurate, much cleaner across the frame and sharper overall. Smaller is a bonus too.
While not the Nikkor 28-70, I shoot with a Tamron 28-75 and my Nikkor 24-70 and man, that 4mm is huge. It actually feels wide on the D700, where the 28mm never really does, but the lens is twice the weight and almost twice the length of the Tamron, so both remain in the cabinet. Also, I can't imagine a sharper lens than my 24-70. I did have it calibrated by Nikon a few weeks ago, but it is just world beater sharp. It is the sharpest 2.8 zoom that I've ever used and I have used a LOT of lenses. It's even sharper than many faster primes. Amazing, amazing lens. Oh and yeah, it was only very good before Nikon got their hands on it. Now it's bloodly unbelievable. So good, that I can't get myself to sell it as was my original plan...

The 24-70 is Nikon's newest, latest design and fabrication effort. I believe it to be better than Canon's 24-70. For a wonderful all-purpose, oft used lens with Prime IQ I think it is well worth the money.
