I was contacted by a venue I shot a wedding at asking if they could use some of my photos on their website. They forwarded me the following release. Feedback appreciated.

I hereby give and grant unto XXXXXXX, Inc., and its agents, representatives, successors or assigns and to any persons or firms on whose behalf the Company is acting, the absolute and unconditional right to copyright, use, publish, display and/or reproduce in any manner whatever, in color or otherwise, photographic portraits or pictures of me in which all or parts of my face or body appear, including but not limited to the right to alter, adapt, modify or use a portion of such photograph or photographs, or composites or distortions of same, alone or in conjunction with my own or a fictitious name, through any media of any kind or nature, or at the offices of XXXXXXX, Inc. or elsewhere, for art, advertising, trademark, trade or any lawful purpose whatever, all as XXXXXXX, Inc. in its absolute discretion shall deem fit.

I hereby waive any right that I may have to inspect or approve the finished photographs, or any alterations, modifications, adaptations, distortions, composites or portions of same, or any finished advertisements materials, copy or other matter which may be used in conjunction therewith, or the manner in which any of the same is used, reproduced, published or displayed.

I further release and discharge and agree to save harmless XXXXXXX, Inc., its agents, representatives, successors and assigns and all persons and firms whose behalf XXXXXXX, Inc. is acting, from any liability whatever by virtue of any blurring, distortion, alteration, optical illusion or use in composite form, whether intentional or otherwise, that may occur or be produced in the taking, processing, reproducing, publishing or displaying of said photograph or photographs.

I hereby warrant that I am of full age and have every right to contract in my own name in the above regard.

I state further that I have read the above authorization and release, prior to its execution, and that I am fully familiar with the contents thereof.

We have a venue here that refuses to let you shoot unless you sign something very similar. Their release also says that the photographer may not blog or publish images without their consent. It's a nightmare.

Would not do it.
You're doing them a favor by letting them use your images.

Be very polite but tell them you have a form you use and send them one you draw up that says you retain copyright and grant them use on their website and for promotion of the venue print and otherwise.
Also add that the image and/or the meta data can not be altered in any way except the image maybe re-sized if desired.

They more then likely don't know any better than to send that offensive form over to you.

Notice how there is not one word that says you will be given a photo credit when the image is used?

This wording also essentially results in the transfer of copyrights for the images to them.

As suggested above, offer to let them use the images for promotion provided a photo credit is given but do not transfer copyright of the images to the venue.


The only exception would be if you are VERY confident that they will place you on their preferred vendor list. Placement on the list is worth far more than the copyright on a couple of images.

Thanks for the responses. There's some great advice here.

My first impression was that it was a pretty one sided agreement. I didn't like the copyright part nor did I think the whole part about they could alter the images in any way they wanted to was good. The images are my vision, not their. If they want to publish their vision they should hire a photographer to do that for them. My client hired me because they liked my style obviously. If they feel they need to change my style they should find another photographer's images.

This is a pretty big venue in a very large city. It surprised me to receive an agreement like this from them. Obviously they are in need of images and this pretty much tells me why.

Two choices...use their website to showcase your work...sign the doc......tell them you aren't interested and don't sign the doc.

Many larger venues do stuff like that...it's corporate crap coming from higher up.

Alter the contract and resend it. Prepare one of your own and resend it. Or tell them no thank you, and they'll move along on their list.

Is their money involved? Because then there's room for negotiation. For a professional favor that's totally unacceptable and one sided.

There's no money involved. They called, said they loved working with us and that they were excited to see the pictures. Then asked if there was a possibility of using some for their website and printed material. I never spoke of a credit or any compensation, i only told them to wait until they saw the images and if they were interested in any to let me know.

that is a messed up model release, honestly it doesn't even apply to them being able to use your photography, if you read it, the verbiage talks about images OF YOU, not that you took as a photographer.

lol I had an open mind until the third line. No way.

I should add my third line started with "copyright" and ended with "pictures of me".

This is a model release, not a license to reproduce your photographs. Read the first paragraph carefully: it says they have the right to use photographs OF YOU (not created by you), depicting part or all of your BODY.

If the person who sent this to you wants to use photos you took on their premises, he or she copied the wrong template text.

What they need is a license to reproduce your photographs (NOT a copyright transfer, and not this model release).

A reprint license might look something like this:

The Parties to this agreement are [YOUR NAME] of [YOUR ADDRESS] ("Photographer"), and [VENUE NAME] of [THEIR ADDRESS] ("Licensee"). This agreement is entered into for the purpose of providing Licensee with permission to reproduce images created by Photographer at and depicting Licensee's place of business, in exchange for consideration received by Photographer.

LICENSE AND LIMITATIONS
Photographer hereby grants to Licensee a limited, worldwide, non-expiring, non-transferrable license to reproduce, use, publish, and/or display for promotional or other business purposes photographs taken and/or owned by Photographer, which depict Licensee's place of business, events held at Licensee's place of business, or other subject matter useful to

You'd also need other sections, such as a statement about jurisdiction and arbitration, recovering fees and court costs if the Licensee breaches the agreement, and so on.

and stopped reading as it was un-sign-able by that alone IMHO.

My only response would be to trash that document and return your own release document to them. Never seen something so ridiculous.

If they don't like your document, take a walk. These larger venues just try to crap all over the little guys...

It's likely that some manager told the banquet person, when they mentioned that they had asked you about using some pictures on the website, to "be sure to get a release so we don't have any legal problems later".

The banquet person then did a google search and found a "release" for pictures. Never dawned on them that is was completely wrong.

As stated. Send an email saying you'd be happy to discuss them using your images. Include licensing verbiage similar to that suggested. If you make a big deal about how stupid their language is you will probably only manage to embarrass the banquet person by pointing out their ignorance in front of their boss(es). Something that obviously off base is not a large corporation trying to lord it over you.

You will need a model release if any of the photographs the venue is interested in will include any of your clients, or any people. While you own the copyright, you cannot commercially use the images of them without their release. Maybe this is why they sent the model release?

After speaking with the bride I found out this is the same document they sent her to sign. I am wondering if they sent me the wrong release to me. I am going to contact them tomorrow and politely ask if it was sent by mistake and point out that it is more of a model release than a usage release.

good for you, if they actually read it, they would know what they sent you, if they thought it pertained to use of your images, then it shows major stupidity on their part

yeah, me too!!!

also proves that you need to be careful who you ask questions and take advice from, sometimes the internet and the people on it don't pay attention to every single detail, nor does everyone have the same opinion.

the reply with the verbiage that is more in line with licensing the use of images if VERY good! I am sure everyone can see the differences in the application.
